HAMILTON, BERMUDA— 25 October 2017: The Bank of N.T. Butterfield & Son Limited (“Butterfield”) (NYSE: NTB | BSX: NTB.BH) today announced that it has entered into an agreement to acquire Deutsche Bank’s Global Trust Solutions (“GTS”) business, excluding its US operations. Terms of the agreement were not disclosed.

Butterfield did not receive any of the proceeds from the sale of the Common Shares.

Butterfield will not receive any of the proceeds from the sale of the shares.

Butterfield & Son Limited (“Butterfield”) (NYSE: NTB | BSX: NTB.BH) today announced that certain of its shareholders (collectively, the “Selling Shareholders”), including affiliates of The Carlyle Group (collectively, “Carlyle”), intend to offer 9,555,794 shares of Butterfield’s voting ordinary shares, par value $0.01 per share (the “Common Stock”), in an underwritten public offering. In addition, the Selling Shareholders intend to grant the underwriters a 30-day option to purchase up to an additional 1,433,369 shares of the Common Stock at the public offering price, less underwriting discounts and commissions. The shares offered, including the underwriters’ option to purchase additional shares, will include all 7,632,569 shares currently owned by Carlyle. Butterfield will not be issuing any shares in connection with the offering and will not receive any proceeds from the offering

Hamilton, Bermuda –13 February 2017: The Bank of N.T. Butterfield & Son Limited (“Butterfield” or the “Bank”) (BSX: NTB.BH; NYSE: NTB) today announced net income for the year ended 31 December 2016 of $115.9 million, an increase of $38.2 million compared to $77.7 million earned a year ago. The $42 million premium on the preference share redemption resulted in a $0.05 per share decrease in earnings per share to $1.18. After removing the effects of non-core items, core earnings for the full year were $138.6 million, an increase of $24.7 million compared to 2015. The Board declared a dividend for the quarter ended 31 December 2016 of $0.32 per common share, a three-fold increase from the prior quarter and the same quarter in the previous year.
